The V-Workshops^TM web site (hereinafter "Web-Site") is provided by Virtual Workshops,Inc. All use of Web-Site is subject to the Terms and Conditions set forth below. Any registration at such web site constitutes the User's agreement to abide by the following Terms and Conditions. Virtual Workshops,Inc. may at its sole discretion modify the Terms and Conditions in whole or in part. Any changes shall be effective automatically with all subsequent registrations.

The Web-Site is a venue for independent instructors to conduct training workshops for workshop participants ("Users"). The Virtual Workshops,Inc. company makes no guarantees or warranties as to the accuracy or completeness of or results to be obtained from accessing Web-Site information ("Information"). Neither Virtual Workshops,Inc. nor its affiliates shall be liable to any User or anyone else for any inaccuracy, error or omission, regardless of cause, in the Information provided or any damages resulting therefrom.

Virtual Workshops,Inc. reserves the right to terminate, change, suspend or discontinue any aspect of the Web-Site. Virtual Workshops,Inc. may also impose limits on certain features of the Web Site or restrict any User access to part or all of the Web Site without notice or penalty. V-Workshops^TM programs are available to User entities that have the capacity to form legally binding contracts and who register to gain access to the site and accept these Terms and Conditions. When Virtual Workshops,Inc. approves a User registration, the User will receive a password. The User shall notify Virtual Workshops,Inc. immediately of any unauthorized use of such password.

Users may through hypertext or other computer "links" gain access to other sites on the Internet which are not part of Web-Site. The Virtual Workshops,Inc. company assumes no responsibility for any material outside of the Web-Site which may be accessed through any such "link."

Virtual Workshops,Inc. shall make reasonable efforts to ensure that the service is available; however, Virtual Workshops,Inc. is not responsible, beyond refund of User workshop fees, for any service interruptions, including, but not limited to, interruptions that may affect the receipt, both visual and verbal, of instruction during the workshop or participation in the chat room following the workshop. Users shall not use any device, software or routine to interfere or attempt to interfere with the proper working of the Web Site.

The User and Virtual Workshops,Inc. are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

DISCLAIMER OF WARRANTIES: THE WEB SITE, INCLUDING ALL CONTENT, FUNCTIONS, MATERIALS AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE WEB SITE, ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. VIRTUAL WORKSHOPS,INC. TO THE USER FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THIS AGREEMENT OR THE USER’S USE OF THE WEB SITE OR WORKSHOPS EXCEED, IN THE AGGREGATE, THE AMOUNT THE PARTICIPANT PAID FOR THE WORKSHOP.

The User’s access to a Web-Site belongs only to the User. The User agrees not to resell, assign or transfer their rights or obligations under this Agreement. The User also agrees not to make any unauthorized commercial use of the Web Site and to abide by all applicable laws governing use of the Web Site.

Virtual Workshops,Inc. will use User information in accordance with its Privacy Policy.

This Agreement shall be governed in all respects by the laws of the State of Delaware, United States of America, as such laws are applied to agreements entered into and to be performed entirely within Delaware between Delaware residents. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed severed from this Agreement and shall not effect the validity or enforceability of the remaining provisions.
